
HELPFUL VOICES — TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of Helpful Voices’ websites, member areas, videos, downloadable materials, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Services.
- WHO WE ARE
Helpful Voices (“Helpful Voices,” “we,” “us,” or “our”) provides educational video content and supplemental materials designed to support group-based programming. Contact: support@helpfulvoices.com | [Company legal name and address]. - ELIGIBILITY
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms. If you access the Services on behalf of an organization (a “Facility”), you represent that you are authorized to bind that organization. - ACCOUNT REGISTRATION & SECURITY
• You must provide accurate, current information and keep your account credentials secure.
• Do not share your login beyond your purchased license scope. You are responsible for all activity under your account.
• Notify us immediately of any unauthorized access or suspected breach: support@helpfulvoices.com. - SUBSCRIPTIONS, BILLING & RENEWALS
• Access to paid content is offered via subscription (monthly or annual) or under a written order form.
• Subscriptions auto-renew at the end of each term unless cancelled before renewal.
• Prices, features, and tiers may change with notice.
• Taxes: You are responsible for any applicable taxes and fees.
• Refunds: Except where required by law or stated otherwise in an order form, payments are non-refundable.
• Trials/Promotions: If a free trial or promo period is offered, billing will begin at the end of that period unless you cancel beforehand. - FACILITY LICENSES & PERMITTED USE
Certain plans grant a “Facility License” which permits in-person group playback within one licensed facility location (a single physical address). Unless expressly allowed in writing, you may not:
• Stream or display content across multiple facilities, campuses, or franchises under a single license.
• Broadcast, webcast, or publicly perform content to the general public or online audiences.
• Distribute, upload, share, or repost our videos or materials outside the Services.
• Remove, bypass, or tamper with DRM, watermarks, or access controls.
• Use content in any way not expressly permitted by these Terms or your order form.
If your use involves multiple sites or remote/hybrid groups, contact us for appropriate licensing.
- USER CONDUCT & ACCEPTABLE USE
You agree not to:
• Violate any law, infringe third-party rights, or engage in harassment or abuse.
• Copy, download (except permitted PDFs and resources), record, rebroadcast, screen-capture, or attempt to extract our videos or audio except as expressly allowed.
• Reverse-engineer or interfere with DRM, tokens, or technical measures.
• Introduce malware, overload our systems, or attempt to gain unauthorized access.
• Misrepresent your identity or affiliation. - EDUCATIONAL CONTENT ONLY — NOT MEDICAL OR LEGAL ADVICE
Our content is for educational and informational purposes. It is not medical, psychological, legal, or therapeutic advice; it does not create a provider-patient relationship. Facilities and facilitators remain solely responsible for how they use the materials, for participant safety, and for complying with applicable laws and professional standards. In emergencies, call local emergency services. - PRIVACY
Our Privacy Policy explains how we collect and use personal information. By using the Services, you consent to those practices. - INTELLECTUAL PROPERTY & LICENSES
• All videos, scripts, images, worksheets, and other materials are owned by Helpful Voices or our licensors and are protected by IP laws.
• Subject to your timely payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and licensed materials as permitted by your plan.
• Except as expressly allowed, you may not reproduce, modify, distribute, sell, sublicense, or create derivative works from our materials. - USER CONTENT
If you submit feedback, testimonials, or other content (“User Content”):
• You grant Helpful Voices a worldwide, perpetual, irrevocable, royalty-free license to use, host, reproduce, modify, and display such content for operating, improving, and promoting the Services (subject to our Privacy Policy).
• You represent you have the rights to grant this license and that your content does not violate laws or third-party rights.
• We may remove or decline to post content at our discretion. - THIRD-PARTY SERVICES & LINKS
The Services may integrate third-party platforms (e.g., payment processors, analytics, video CDNs). We are not responsible for third-party sites or services; your use is governed by their terms and policies. - AVAILABILITY; CHANGES TO THE SERVICES
We may add, modify, or discontinue features or content at any time. We strive for reliable access but do not guarantee uninterrupted availability. We may suspend or limit access for maintenance, security, or legal reasons. - BETA / EARLY ACCESS FEATURES
We may offer experimental features on a preview basis. They are provided “as is,” may change without notice, and may be subject to additional terms. - DMCA & COPYRIGHT COMPLAINTS
If you believe content infringes your copyright, send a notice to support@helpfulvoices.com with: (a) your contact info; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that your notice is accurate and you are authorized; and (f) a physical or electronic signature of the rights holder or agent. - TERMINATION
• You may cancel your subscription at any time (effective at the end of the current term unless otherwise stated).
• We may suspend or terminate access immediately if you violate these Terms or use the Services unlawfully.
• Upon termination, your license to access paid content ends; certain provisions survive (e.g., IP, disclaimers, limitations of liability, indemnity). - DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the Services and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. - LIMITATION OF LIABILITY
To the fullest extent permitted by law, Helpful Voices and our affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenues, data, goodwill; or business interruption, arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages. Our aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amounts you paid to us in the 12 months before the claim, or (b) USD $100. - INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Helpful Voices and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your violation of these Terms or law; or (c) your User Content or activities in connection with the Services. - GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in [Los Angeles County, California], and waive any objection to personal jurisdiction or venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Optional arbitration clause (replace this section if you prefer court litigation only):
• Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS under its Rules in [Los Angeles, California]. You and Helpful Voices waive the right to a jury trial. Class actions are not permitted.
- EXPORT & SANCTIONS COMPLIANCE
You may not use the Services if you are located in a jurisdiction subject to comprehensive U.S. sanctions or if you are on a U.S. government restricted list. You agree to comply with all applicable export control and sanctions laws. - CHANGES TO THESE TERMS
We may update these Terms periodically. When we do, we will revise the “Last updated” date and, where appropriate, provide additional notice. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. - MISCELLANEOUS
• Entire Agreement: These Terms, plus any order form and our Privacy Policy, are the entire agreement between you and Helpful Voices regarding the Services.
• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

FACILITY LICENSE ADDENDUM (if applicable to your plan)
A) Scope. One Facility License permits in-person group playback of Helpful Voices videos and use of downloadable facilitator materials at a single physical facility location listed on your account. Remote access by participants outside the room is not included unless expressly authorized in writing.
B) Restrictions. You may not record, rebroadcast, or redistribute videos; remove DRM or access controls; upload materials to public repositories; or use the materials for commercial training outside your licensed facility without separate permission.
C) Facilitator Use. Licensed staff may access facilitator guides and run the sessions. You are responsible for ensuring staff comply with these Terms.
D) Multi-Site & Network Use. Multi-site organizations, franchises, government agencies, or school districts require an appropriate multi-facility license or enterprise agreement.
E) Compliance & Audit. We may request reasonable proof of license scope (e.g., facility address) and usage compliance. Failure to comply may result in suspension or termination.
